Terms of Service
Last updated 22 August 2026
These Terms govern your access to and use of the Artemis AI platform provided by Artemis AI LLC ("Artemis", "we", "us"). By using Artemis, you agree to them. If you are agreeing on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.
Contents
1. The service
Artemis is a multi-tenant platform that lets a business upload documents, ask questions of an AI assistant grounded in those documents, optionally work with human consultants, and review its usage and costs. Access is provisioned by invitation; there is no public self-service sign-up.
2. Accounts and access
- Accounts are created by an Artemis administrator or by an authorised person at your business. You must provide accurate information and keep it current.
- You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorised use.
- Accounts are personal. Do not share credentials or let another person use your seat.
- Roles carry different permissions. Do not attempt to access data your role is not granted.
- Your business's access may be governed by a subscription period set by us. When it lapses, access may be suspended.
3. Service commitments
We want you to know what we do and do not promise about the service itself:
- Artemis is provided without a formal service-level agreement. We work to keep it available and monitored, but we do not commit to a guaranteed uptime figure.
- Features may be added, changed or withdrawn as the product develops. We give reasonable notice of material changes.
- Artemis is a working tool rather than a system of record. Retain your own copy of anything you cannot afford to lose.
- We take continuous backups and have tested restoring from them, but backups are a recovery mechanism for us, not an archival service for you.
4. Your content
"Your Content" means the documents, business information, questions, notes and other material you or your team submit to Artemis.
- You own it. These Terms transfer no ownership of Your Content to us.
- You grant us a limited licence to host, store, process, transmit and display Your Content solely to operate and provide the service to you — including sending relevant portions to our AI provider to generate answers. This licence ends when Your Content is deleted, subject to backup retention.
- You confirm you have the right to submit Your Content and that doing so does not infringe anyone's rights or breach any duty of confidence. Do not upload material you are not authorised to share.
- We do not use Your Content to train publicly available AI models, and we do not share it between customers.
5. Acceptable use
You agree not to:
- use Artemis unlawfully, or to produce unlawful, defamatory, harassing or infringing material;
- upload malware, or attempt to breach, probe or circumvent the platform's security or access controls;
- attempt to access another business's data, or any data your role does not grant you;
- reverse engineer, decompile, scrape or create derivative works from the platform;
- resell, sublicense or provide the service to third parties without our written agreement;
- use the service to build a competing product, or to benchmark it for a competitor;
- submit sensitive categories of personal data — such as health, biometric, government identifier or payment card data — unless we have agreed in writing that you may; or
- impose an unreasonable load on the platform, including through automated bulk requests.
6. AI output
- Artemis generates responses using third-party AI models. Output is probabilistic and may be inaccurate, incomplete or misleading, even when it reads as confident.
- Output is not guaranteed to be unique; similar questions may produce similar answers for different users.
- At deeper research levels the assistant may consult public web sources. We do not control and are not responsible for the accuracy of those sources.
- You are responsible for reviewing output before relying on it or sharing it.
7. No professional advice; disclaimers
Artemis does not provide legal, financial, tax, accounting, investment, medical or other professional advice. Output is informational. It is not a substitute for a qualified professional who knows your circumstances, and no professional relationship is created by using Artemis. Decisions you make are yours.
Where consultants operate through Artemis, they are independent of us unless we state otherwise in writing. We are not responsible for advice they give.
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that output will be accurate.
8. Availability and changes
We may modify, suspend or discontinue any part of the service at any time. We aim to give reasonable notice of material changes, though urgent security or legal issues may require us to act immediately. We may also perform maintenance that makes the service temporarily unavailable.
9. Fees
Fees, if any, are as agreed in writing with your business. Where usage budgets apply, the platform may limit further AI requests once a budget is reached for the period. Where access is provided at no charge, that does not create any entitlement to continued free access.
10. Intellectual property
Artemis, including the platform, its software, design, and the Artemis name and logos, is owned by Artemis AI LLC and protected by intellectual property law. Except for the limited right to use the service under these Terms, we grant you no rights in it. Feedback you give us may be used without obligation to you.
11. Suspension and termination
- You may stop using Artemis at any time; contact us to close your workspace.
- We may suspend or terminate access if you breach these Terms, if required by law, or if your use threatens the security or integrity of the platform.
- On termination, your right to use the service ends. We will make Your Content available for export for a reasonable period on request, after which it may be deleted.
- Sections that by their nature should survive termination — including 4, 7, 10, 12, 13 and 14 — do survive.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms or the service, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100).
Nothing in these Terms excludes liability that cannot lawfully be excluded. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
13. Indemnity
You will defend, indemnify and hold harmless Artemis AI LLC and its officers, employees and agents from claims, damages, losses and reasonable legal costs arising from Your Content, your use of the service, or your breach of these Terms — except to the extent caused by our own breach or negligence.
14. Governing law and disputes
These Terms are governed by the laws of the State in which Artemis AI LLC is organised, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts of that State.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing 30 days to reach a resolution.
15. General
- Entire agreement. These Terms, together with the Privacy Policy and any written agreement with your business, form the entire agreement between us on this subject.
- Order of precedence. If a signed agreement with your business conflicts with these Terms, that agreement controls.
- Changes. We may update these Terms. We will revise the date above and, for material changes, give notice before they take effect. Continued use after that constitutes acceptance.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Severability. If a provision is held unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Independent contractors. Nothing here creates a partnership, agency or employment relationship.
